Token-Holder’s Options for Disbursement of Dividends Terms & Conditions

WHEREAS RealToken Inc. is transitioning to the Ethereum “LAYER 2” known as“xDai”;

WHEREAS Token-Holders can now choose between three options to receivedividends representing the rental income from all of the Token-Holder’scryptographic tokens expressing ownership of Series LLCs as described in theirrespective Offering Memorandums, Supplement Memorandums and Series Descriptions (hereafter “RealTokens”), including those that are generated from the Re-Investment Option (described below). Those three options are:

  1. To receive the income in Stable-coin (currently USDC) directly on the xDaiblockchain (hereafter the xDai Option);

  2. To accumulate the income in Stable-coin (currently USDC) in a smart contractwith the option to “claim” the USDCs on the Ethereum blockchain at the time of the Token Holder’s choosing and at the cost of the Token Holder (Hereafter the Accumulation Option);

  3. To re-invest the income in cryptographic tokens of another RealToken Series LLC owning exclusively a real estate property described in APPENDIX A which includes the Offering Memorandum, its Supplement, and its Series Description (hereafter the Re-Investment Option).

WHEREAS the Token-Holder is aware that:

  1. It is possible to change between options A or B at any time;

  2. If the “Re-Investment Option” (Option C) is chosen, the choice is set and cannot be modified until either

    1. tokens of another Series LLC become available for another “re-investment option”, or

    2. until the tokens of the current Series LLC in the “re-investment option”are sold-out, or

    3. until the undersigned Token Holder has acquired a maximum of 10% (ten percent) of the available tokens of the current Series LLC for the “re-investment option”; or

    4. until the Managing Member (Currently RealToken Inc.) opts to put the remainder of the available tokens (less the standard Token Reserves) of the Series LLC for sale on the RealToken Inc. platform;

    at which time the Token-Holder will be able to choose once again amongst the options then available.

NOW THEREFORE, the undersigned Token-Holder agrees to the terms and conditions described herein and confirms having chosen Option C, the “Re-Investment Option” as described above:

I hereby confirm my full understanding of the above terms and conditions, including the unchangeable nature of Option C until one of the aforementioned events are met and I hereby irrevocably confirm my choice of Option C: The “Re-Investment Option”.
